Comprehensive Terms & Conditions
Version 2.0 – General Business Terms & Conditions
1. Scope
These Terms apply to all goods and services supplied by Your Local Tech Solutions (YLTS), including repairs, managed IT services, consulting, installations, cloud services, website services, software configuration, technical support, remote support, sales of goods, and related professional services.
2. Acceptance
By requesting a quote, approving work, purchasing goods or services, signing a work order, making payment, or otherwise engaging YLTS, the Customer agrees to these Terms.
3. Quotes & Estimates
Quotes are valid for 14 days unless otherwise stated. Quotes are based on information available at the time and may be revised if additional work, parts, or requirements arise.
4. Customer Responsibilities
Customers must provide accurate information, maintain backups, ensure legal ownership or authority over equipment and accounts, and cooperate with reasonable requests necessary to perform services.
5. Data Protection & Privacy
YLTS will take reasonable measures to protect customer information and comply with applicable Australian privacy laws. Customers remain responsible for maintaining current backups of important data.
6. Repairs & Technical Services
Repair timeframes are estimates only. Hidden faults, liquid damage, corrosion, software issues, supplier delays, and other factors may affect repair outcomes and completion times.
7. Managed Services & Support
Recurring support agreements continue according to their agreed term. YLTS may suspend services for overdue accounts following reasonable notice.
8. Remote Support
Customers consent to remote access where required/available to provide support services. YLTS will only access systems necessary to perform requested work.
9. Products, Hardware & Software
Hardware, software licences, subscriptions, cloud services, and third-party products remain subject to the terms and warranties of their respective suppliers and licensors.
10. Pricing & Payment
Invoices must be paid by the due date shown. Deposits may be required. Late payments may incur reasonable recovery costs, interest, or suspension of services where permitted by law.
11. Retention of Title
Ownership of supplied goods remains with YLTS until all amounts owing have been paid in full, to the extent permitted by law.
12. Warranties
YLTS warrants its workmanship for the period specified on the relevant invoice, quote, agreement, or service documentation. Warranty exclusions include misuse, accidental damage, third-party interference, unauthorised modifications, and normal wear and tear.
13. Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies rights that cannot lawfully be excluded under the Australian Consumer Law.
14. Limitation of Liability
To the maximum extent permitted by law, YLTS excludes liability for indirect, incidental, consequential, special, punitive, or economic losses including loss of profits, business interruption, goodwill, opportunity, or data.
15. Cybersecurity
YLTS cannot guarantee that customer systems are immune from cyber threats. Customers remain responsible for implementing appropriate security practices, user training, password management, and backup strategies.
16. Website & Digital Services
Customers are responsible for content supplied for websites, hosting, marketing, email systems, and digital platforms. Customers warrant that content does not infringe intellectual property rights or applicable laws.
17. Intellectual Property
Unless otherwise agreed in writing, YLTS retains ownership of its methodologies, templates, systems, software customisations, documentation, and intellectual property developed during service delivery.
18. Third-Party Providers
YLTS may utilise third-party suppliers, carriers, cloud providers, software vendors, and contractors. YLTS is not responsible for failures solely attributable to those providers.
19. Uncollected Equipment
Equipment not collected within a reasonable period after notification may incur storage fees. Uncollected goods may be disposed of in accordance with applicable legislation after reasonable notice.
20. Force Majeure
YLTS will not be liable for delays or failures caused by circumstances beyond its reasonable control, including supplier shortages, telecommunications outages, natural disasters, government actions, or cyber incidents.
21. Complaints & Dispute Resolution
The parties agree to attempt good-faith resolution of disputes before commencing formal legal proceedings.
22. Governing Law
These Terms are governed by the laws of New South Wales, Australia.
23. Severability
If any provision is found unenforceable, the remaining provisions continue in full force and effect.
Customer Acknowledgement
By engaging YLTS, accepting a quotation, purchasing products or services, or making payment, the Customer acknowledges that they have read, understood, and agreed to these Terms & Conditions.
